1. Agreement to Terms
By accessing or using the website of Epicwave Technologies ("Company", "we", "us") at www.epicwave.tech, or by engaging our services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, please do not use our website or services.
2. Services
Epicwave Technologies provides web development, mobile app development, ERP software, digital marketing, SEO, branding, and related technology services. The specific scope of services for each client project is defined in a separate Service Agreement or Statement of Work (SOW).
3. Client Obligations
- Provide accurate, complete, and timely information required for the project
- Review and provide feedback within agreed timelines
- Make payments as per the agreed payment schedule
- Ensure that any content, images, or materials provided to us do not infringe third-party rights
4. Intellectual Property
4.1 Client Content
You retain ownership of all content, logos, and materials you provide to us. You grant us a limited licence to use such materials solely for delivering the agreed services.
4.2 Deliverables
Upon receipt of full payment, ownership of the final deliverables (custom code, designs, content) transfers to the client as specified in the project agreement. We retain the right to showcase the work in our portfolio unless otherwise agreed in writing.
4.3 Third-Party Components
Open-source libraries, stock images, and third-party components used in projects are subject to their respective licences and are not transferred to the client as proprietary assets.
5. Payment Terms
- Payment schedules are defined in individual project agreements
- Invoices are due within 7 days of issuance unless otherwise agreed
- Late payments may attract a monthly interest charge of 2%
- We reserve the right to suspend work on projects with overdue payments
6. Confidentiality
Both parties agree to keep confidential any proprietary information exchanged during the engagement. An NDA can be provided upon request prior to project commencement.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Epicwave Technologies shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website. Our total liability for any claim shall not exceed the amount paid by the client for the specific service giving rise to the claim.
8. Warranties and Disclaimers
We warrant that our services will be performed with reasonable skill and care. We do not warrant that our services will be error-free or uninterrupted. We disclaim all other warranties to the maximum extent permitted by law.
9. Termination
Either party may terminate a project engagement with 14 days' written notice. The client is liable for payment for all work completed up to the date of termination. Deposits and milestone payments made are non-refundable unless otherwise stated in the project agreement.
10. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Guwahati, Assam, India.
11. Amendments
We reserve the right to modify these Terms at any time. Changes will be posted on this page with a revised date. Continued use of our services after changes constitutes acceptance of the updated terms.
